Welcome to Abnaasi. These Terms of Service ("Terms") govern your access to and use of the website at https://abnaasi.com (the "Service") operated by Abnaasi Pty Ltd (ABN 76 690 280 061), a company registered in Victoria, Australia ("we", "us", or "our").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

1. Use of the Service

You may use the Service for lawful purposes only. You agree not to:

Use the Service in any way that violates applicable Australian federal, state, or local law
Attempt to gain unauthorised access to any part of the Service, other accounts, computer systems, or networks connected to the Service
Use the Service to transmit unsolicited commercial communications (spam)
Interfere with or disrupt the integrity or performance of the Service
Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Service without our express written permission

2. Intellectual property

The Service and its original content, features, and functionality are owned by Abnaasi Pty Ltd and are protected by Australian and international copyright, trademark, and other intellectual property laws.

Our trademarks, logos, and service marks may not be used in connection with any product or service without our prior written consent.

3. Client work and deliverables

Where we provide services to you under a separate agreement (proposal, statement of work, or service agreement), the terms of that agreement take precedence over these Terms in the event of any conflict.

Unless otherwise agreed in writing:

We retain ownership of all tools, methodologies, frameworks, and pre-existing intellectual property used in delivering our services
Upon full payment, you receive ownership of custom deliverables created specifically for your project (such as website code, custom designs, and written content)
We may reference completed work in our portfolio and case studies, with client details anonymised unless you provide written consent

4. Third-party services

Our Service may contain links to third-party websites or services that are not owned or controlled by Abnaasi. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party sites or services.

Where we integrate third-party tools into our service delivery (such as Google Analytics, Google Ads, Meta Ads, or CRM platforms), your use of those tools is subject to the respective third party's terms of service.

5. Accounts and security

If you create an account or submit information through our Service, you are responsible for maintaining the confidentiality of your credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorised use.

6. Payment terms

Payment terms for our services are set out in the relevant proposal or service agreement. General terms apply unless otherwise specified:

All prices are quoted in Australian Dollars (AUD) and are exclusive of GST unless stated otherwise
Invoices are due within 14 days of issue unless otherwise agreed
We reserve the right to suspend services if payment is overdue by more than 30 days
Ad spend (for paid advertising services) is paid directly to the advertising platform and is separate from our management fees

7. Cancellation and refunds

For ongoing service agreements (such as SEO, website management, or paid advertising management):

A minimum 3-month commitment applies unless otherwise agreed
After the initial period, you may cancel with 30 days' written notice
No refunds are provided for services already rendered
Upon cancellation, we will provide you with access to all accounts and assets that belong to your business

For one-off projects (such as website builds), cancellation terms are specified in your project proposal.

8. Limitation of liability

To the maximum extent permitted by Australian law, Abnaasi Pty Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Service.

Our total liability for any claim arising from the Service shall not exceed the amount you paid to us in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under Australian Consumer Law.

9. Indemnification

You agree to indemnify and hold harmless Abnaasi Pty Ltd, its directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses arising out of or in any way connected with your access to or use of the Service, or your violation of these Terms.

10. Disclaimer of warranties

The Service is provided on an "as is" and "as available" basis without any warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement.

While we strive to ensure the accuracy and reliability of information on the Service, we do not warrant that the Service will be uninterrupted, secure, or error-free.

11. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Victoria, Australia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Victoria.

12. Changes to these terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "last updated" date. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms.

13. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
